Terms and Conditions
This agreement is between:
• The Buyer.
• The Seller.
• Both Buyer and Seller have to abide on the terms buying/selling terms agreed.
SALE AND PURCHASE
• The Seller is the owner of certain equipment and goods (“Equipment”) and the Purchaser is desirous of acquiring the same in accordance with the terms and conditions of this Agreement.
• The Seller agrees to sell and the Purchaser agrees to purchase the Equipment as described in the proforma invoice in accordance with the terms and conditions herein contained.
PAYMENT TERMS
• Full payment shall be received on or before the stipulated date agreed.
• The Purchase Price must be fully paid by the Purchaser and the Seller must have receive full payment of the Purchase Price before the any Equipment or any part thereof can be removed from the Seller’s site (“Site”).
REMOVAL OF THE EQUIPMENT
• Removal of the Equipment shall only be permitted after this Agreement is executed and the agreed amount is fully paid for including but not limited to any applicable taxes and duties from the applicable governments. [Equipment lifting shall be permitted only after completion of 100% payment of agreed Amount in seller’s bank account by the purchaser]
DISCLAIMER OF REPRESENTATIONS AND WARRANTIES
• Sold on “AS IS, WHERE IS “basis
• The Purchaser assumes all risks and liability whatsoever resulting from the possession, use or disposition of the Equipment. The Seller shall have no liability with respect to the equipments sold to the Purchaser, including having no liability for indirect, incidental or consequential damages.
TERMINATION
• This Agreement shall terminate in the event the Purchaser fails to pay the entire Purchase Price of the Equipment within the stipulated time agreed. In such event, the Purchaser shall not be entitled to and waives its right to a refund of the Purchase Price already paid by the Purchaser before the termination.
• The Advance amount will be non – refundable and in case of Purchasers change in plans can be used for other equipment purchases for Quality Equipment stock.
INSPECTION
• The Purchaser is invited, urged and cautioned to inspect the Equipment prior to purchase.
• The Equipment will be available for inspection with prior approval of the Seller at the places and times specified by the Seller
DISPUTES RESOLUTION
• All disputes between the Parties in connection with or arising out of the existence, validity, construction, performance and termination of this Agreement (or any terms thereof) which cannot be settled amicably within 30 days from the date of receipt by either party of notice(s) of such dispute(s) shall be finally settled by arbitration in Dubai courts United Arab Emirates in accordance with the rules of arbitration. The award to the arbitrator(s) will be final and binding upon the Parties and may be entered into any court having jurisdiction thereof.
GOVERNING LAW
• This Agreement shall be interpreted, constructed and governed by the laws in DIFC Dubai courts United Arab Emirates
GOVERNMENT TAXES, DUTIES, PERMITS, ETC
• Export Buyers: - 5% VAT Deposit will be charged as a guarantee on all purchases (Duty Paid & Duty Not Paid items). It will be refunded immediately after submitting export proof attested by UAE Customs."
• Our offered prices do not include VAT or any other government imposed levy/taxes. The same shall be charged as applicable at the time of billing starting from 1st January, 2018, irrespective of when the purchase order was placed
MISCELLANEOUS
• This invoice shall be considered as correct if any discrepancy not notified within 7 days upon receipt of invoice. Any claims after 7 days shall not be accepted.
• Any disputes or discrepancies in connection with the invoice and default of any kind of payments, whatsoever which cannot be settled amicably will be governed by and remain under the Jurisdiction of Dubai International Financial Centre (DIFC) courts. There is no limit to the amount for which the case in filed.
